History of Wimm Bill Dann

The history of the Wimm-Bill-Dann company dates back to 1992, when Sergey Plastinin and Mikhail Dubinin rented a production line and began producing packaged juices under the Wimm-Bill-Dann trademark. In just three years, LMK, the largest dairy plant in Eastern Europe, will become the first own production asset of a young domestic company.

In 1993, Wimm-Bill-Dann launched the production of yoghurts. At that time, this type of dairy product was little known and was just beginning to gain popularity among consumers.

In 1994, Wimm-Bill-Dann launched the first domestic brand of packaged juices, J7, on the market. Today, J7 is the leader in the premium segment of the Russian juice market.1

In 1996, the company expanded its brand portfolio and launched traditional dairy products Domik v derevnya. Today, natural dairy products "House in the Village" are trusted by thousands of families across the country, and the brand itself is one of the leaders in the dairy products market. Domik v derevne products are annually awarded the Product of the Year award, and in 2011 the brand was awarded medals and the Grand Prix of the All-Russian tasting competition Milk Success. The brand occupies the first lines in the status ratings, was awarded the "100 the best goods Russia”, is included in the list of the most valuable Russian brands in the Interbrand catalog, and according to the Forbes2 magazine rating, it is included in the TOP-10 of the largest Russian brands.

1998 is a landmark year in the history of the company. This year, Wimm-Bill-Dann is starting an active regional expansion, acquiring enterprises in Vladivostok, Ufa, Nizhny Novgorod and Krasnodar Territory. The basis of the successful business of Wimm-Bill-Dann is a stake on innovation: the company was one of the first in Russia to launch mass production of food products in cardboard aseptic packaging, which allowed us to bring the distribution of products to a qualitatively new level, ensuring their safety for a long time. The successful location of production facilities, their modernization and the high professional level of employees, the consistently high quality of products laid the foundation for the company's success in the market and made Wimm-Bill-Dann one of the leaders in the domestic food industry.

In 1998, Wimm-Bill-Dann introduces two new products to the market - Chudo yogurt and Chudo Yagoda fruit drink. Berry juice "Miracle Yagoda", prepared according to traditional Russian recipes from forest and garden berries, became the first packaged fruit drink in Russia.

In the same year, Wimm-Bill-Dann brought Chudo yogurt to the market. At first, they had only a few flavors and were packaged in small plastic cups. Today, the Chudo brand is the leader of the domestic market of yoghurts and desserts3 and includes 95 different types of products.

The year 1999 was marked for the company by innovations in the dairy segment. Wimm-Bill-Dann launches Bio Max bio-kefir, which has become the first specialized brand of fortified dairy products in Russia.

The expansion of geography and increase in production volumes leads to the fact that the company begins to feel a shortage of high-quality raw milk. This situation is pushing Wimm-Bill-Dann to create a comprehensive system of measures to support domestic milk producers. In 1999, the company launched the Milk Rivers program, which included commodity loans, leasing of production equipment and, in fact, became the first domestic business program to support the agro-industrial complex.

In the same year, the company launches Lyubimiy Sad juices and nectars, which are now produced under the Lyubimiy brand. To date, the company, which includes Wimm-Bill-Dann, has three of the most successful brands in the domestic juice market: J7 is in the first place, in the second - "Orchard", and in the third - "Lyubimiy".4

In 2000, a brand of dairy products, Vesyoliy Molochnik, enters the market. In the same year, Wimm-Bill-Dann acquires production facilities in Ukraine and Kyrgyzstan.

In 2001 Wimm-Bill-Dann entered the market baby food, having started the production of products under the brand name "Agusha" as the first domestic brand baby food. For more than four years in a row, Agusha has been the leader in the baby food market in Russia.5

In 2002, Wimm-Bill-Dann became the first domestic food company to list its shares on the New York Stock Exchange (NYSE). The initial public offering brought the company $200 million.

In 2003, Wimm-Bill-Dann acquires the Essentuki Plant and begins to produce Essentuki No. 4 and No. 17 under its own brand. In the same year, in the city of Rubtsovsk, Altai Territory, the production of Lamber cheese, the first domestic yellow cheese, successfully competing with imported products in the category of yellow cheeses, was launched. At the same time, production of the functional milk drink Imunele begins in Moscow. Subsequently, the product line of this brand included Imunele for Men and Imunele for Kids.

In 2007, the company launches juices, fruit, vegetable and meat purees "Agusha" on the market. And the very next year, baby powdered milk formulas. To date, under the brand name "Agusha" 108 varieties of products are produced.

In February 2011, Wimm-Bill-Dann, the largest producer of juices and dairy products in Russia, joins the PepsiCo family. With the acquisition of Wimm-Bill-Dann, PepsiCo became Russia's largest food and beverage company.

The separate structural subdivisions of Wimm-Bill-Dann will receive:

  • territorially isolated subdivisions that do not have a settlement account;
  • · representative offices acting on the basis of the Regulations on the representative office, approved by the decision of the Board of Directors of the organization;
  • · branches operating on the basis of the Regulations on the branch, developed by the parent company and approved by the head of the organization.

Branches are allocated to a separate balance sheet, they have a settlement account, they keep their own accounts. The salary of employees of the enterprise is accrued in the parent enterprise.

The property of structural divisions consists of fixed assets and working capital, as well as other values ​​assigned to them or transferred to them by the Company. Its value is reflected in the respective accounting registers and in the Company's balance sheet; it is the property of the society.

When carrying out on-farm settlements between the parent company and the branch, the primary document is used - Advice. This plant was purchased by Wimm-Bill-Dann in 2001. In 2003, a reconstruction was carried out, which cost the company $ 13 million: a workshop was built for the production of a new, own brand cheese. This workshop, which now processes 95% of all milk supplied to the plant, is fully automated, equipped with German and Polish equipment. There is no other such modern cheese production in all of Eastern Europe.

An assessment of the state of the livestock industry (dairy cattle breeding) allows us to conclude that in recent years the number of cows in Russia has been declining, and productivity is not growing fast enough to compensate for the reduction in livestock. Russian dairy companies are experiencing a shortage of raw milk, especially premium quality milk. We can assume that "WBD" has one of the best raw material bases among Russian milk processors, due to the fact that since 1999. Implements the program "Milk rivers of the Moscow region" (provides for investment in agricultural enterprises of the Moscow region over 20 million dollars). At the first stage, the company equipped 65 dairy farms near Moscow - its suppliers - with modern Swedish milking and cooling equipment for a total cost of about 7 million dollars. The equipment is leased: farms must repay its cost after 8 years. In the future, the geography of participating farms expanded, and for many farms WBD purchased forage harvesting equipment (harvesters were provided on a 3-year installment plan). In total, 69 and 150 farms-suppliers of companies participate in the Milk Rivers program.

As of December 31, 2011, the main owner of Wimm-Bill-Dann OJSC was Wimm-Bill-Dann Foods OJSC (98.41% stake in the charter capital). OJSC Wimm-Bill-Dann Foods is 100% owned by Pepsi-Cola (Bermuda) Limited (located in Bermuda).

In early November 2010, it became known that the American company PepsiCo agreed with the shareholders of Wimm-Bill-Dann to purchase the company. During the first stage of the transaction, which ended on February 3, 2011, PepsiCo received 66% of WBD for $3.8 billion (42.37% of the shares were purchased from the founders and management of the company, another 23.52% of the shares from its subsidiaries), in parallel PepsiCo bought another 11% of WBD shares on the market. The American company retained the right to fully buy out the company. It was assumed that, if completed, this transaction would become a record in terms of foreign investment in Russia's non-resource sector. As a result, as of February 3, 2011, PepsiCo owned 76.98% of WBD, and as of December 31, 2011 - 98.41%.

At present, the authorized capital of OAO WBD-Food Products consists of 44,000,000 ordinary shares. The par value of each share is 20 rubles. The company's shares are listed on Russian stock exchange RTS. Some of the shares are traded in the form of ADRs on the New York Stock Exchange. The management structure is formed linearly, so that at the head of each production and management unit is a leader, endowed with all the powers of direct influence on the management object. Its decisions, transmitted from top to bottom, are binding on all lower levels and are implemented through the leaders of these levels.

In general, accounting at the enterprise is carried out in accordance with the accounting policy, the workflow schedule is being followed. But the disadvantage is that the accounting policy does not say anything about the schedule of accounting work, which should contribute to the rational use of working time and increase the productivity of accounting work, create conditions for rhythmic work and increase the responsibility of each accounting employee for the quality and timing of certain work.

Lianozovsky dairy plant is the leader in milk processing and production in the region. Almost half of the dairy products sold in the Moscow region and in Moscow are products of the Lianozovsky Dairy Plant.

The enterprise was founded in 1982 on the basis of the Plant for the production of children's dairy products. In the early years, the plant produced sterilized milk, sour cream, kefir and cottage cheese. There are about 40 products in total.

The recipe for dairy products is developed by the leading technologists of the plant with the participation of nutritionists, foreign experts and employees of the Institute of Nutrition of the Russian Academy of Medical Sciences. The plant has its own laboratory that controls the quality of the product at all stages of production from milk intake to the release of finished products. Deliveries of high-quality raw materials to the plant are carried out only by proven suppliers. Due to the high quality and safety of dairy products of the Lianozovo plant, the Institute of Nutrition of the Russian Academy of Medical Sciences recommends them for consumption by children from 8 months to three years.

The products manufactured by the plant are pasteurized milk, kefir, sour cream, yogurt, milk and fruit cocktails, cottage cheese and curd mass. Won special love among consumers:
